TERMS AND CONDITIONS
2D4D Pharma Standard Terms and Conditions for Estimates and Proposals These terms and conditions apply to all estimates and proposals for Business Development and Industrial Support unless otherwise indicated. Acceptance of any 2D4D Pharma proposal constitutes acceptance of these terms and conditions.
1. Basis of estimates and proposals
Estimates and proposals produced by 2D4D Pharma rely upon the accuracy, completeness and correctness of information supplied. Additional charges may be applicable in the event that such information provided by the Client (or their suppliers, or agents) proves to be incorrect, incomplete or is modified.
Estimates may include a number of assumptions regarding costs which will be detailed in the proposal. If these assumptions are incorrect and additional expense that could not have been foreseen at the outset proves necessary, this will be charged in addition to the estimated amount. Where this occurs the Client will be informed in advance of incurring additional charges. Should unexpected or unforeseen issues arise which affect the activities covered by the proposal, 2D4D Pharma reserves the right to renegotiate the fees and the timescale. The price assumes that 2D4D Pharma can undertake the proposed work
within the specified time periods. If during the course of the work required it appears that the time required will be more than estimated due to activities beyond the scope or control of 2D4D Pharma, the company will seek instruction before undertaking further work. Any additional meetings or discussions requested by the Client or additional activities requested beyond the scope of the proposal will be subject to additional cost.
2. Fees
Fees do not include VAT, or direct costs such as travel costs, hotels, translation costs, fax costs, copying, binding and postage of large quantities of documentation, courier charges, except where these are specifically mentioned in the proposal. Car travel is charged at a rate of 0.587 per km. Unless otherwise agreed, business class air fares and first class rail fares will apply.
3. Validity
Any quotation is valid for 60 days from the date of issue. If confirmation of acceptance is not received within 60 days 2D4D Pharma reserves the right to revise the estimate.
4. Payment terms
Unless otherwise agreed, services to clients are provided on condition that invoices are paid in full within 15 days of receipt of any invoice. 2D4D Pharma reserves the right to cancel or defer, without liability, provision of any further services if this condition is not complied with. All invoices are subject to the terms of the article L. 441-6, § 8 and article L. 441-6 of the French Commercial code. In the event of late payment, 2D4D Pharma reserves the right to levy a late payment charged in accordance with the current statutory levels of current bank base rate + 11% compounded. If a purchase order number, or equivalent reference, is required by the Client to approve payment of any invoice, this must be provided before the commencement of any work. 2D4D Pharma reserves the right to discontinue the provision of the services at any time when fees due to 2D4D Pharma by the Client remain outstanding. 2D4D Pharma will accept no responsibility for the consequences of discontinuing work in these circumstances.
5. Cancellation
If the Client cancels the agreed regulatory support activities after acceptance of the proposal, 2D4D Pharma reserves the right to seek payment to cover time spent in preparation of the work agreed upon in the offer. Cancellation must be notified in writing.
Cancellation within 20 days of the agreed start date will incur a charge of 30% of the total amount.
6. Enforceability
Should 2D4D Pharma exercise its prerogative in not enforcing any one or more of these terms or conditions, this shall not constitute a waiver by 2D4D Pharma of its rights to enforce the term or condition in the future. If any of these terms and conditions is declared to be illegal, voidable, or otherwise unenforceable by any judicial or legal authority, this shall not affect the remainder of the terms and conditions, which shall continue in full force and effect. Any term or condition found to be illegal, voidable or otherwise unenforceable shall be amended to achieve the intention of both parties.
